About us

A holding company, not an operating business.

GFR Beteiligungs GmbH exists to own and manage shares in other companies. Our core activity is not producing goods or serving end customers. It is holding interests and looking after them properly.

This structure separates ownership from operations. Every company we hold keeps its own business, management and customers. We act as a shareholder: we exercise the rights that come with our shares, stay informed, and take decisions about the holding itself.

Our commercial register extract also records our involvement in corporate mergers and reorganisations. We treat these as structural questions: who holds what, on which terms, and how the resulting group can be governed in a clear and documented way.

What we do

  • Hold shares in other companies
  • Manage shareholder rights
  • Take part in mergers
  • Take part in reorganisations

What we don’t do

  • Manufacture products
  • Sell services to end consumers
  • Run day-to-day operations of held companies

Services

What a holding structure means in practice.

Acquiring and holding participations

We acquire shares and interests in other companies and hold them over the long term, in a structure that is clearly documented and easy to explain to partners, banks and authorities.

Management of shareholdings

We administer the rights attached to our shares: voting at shareholder meetings, resolutions, information rights and regular dialogue with the management of each company.

Participation in mergers

We take part in corporate mergers that bring companies together under one legal and ownership structure, and we look at how the new set-up affects our own holdings.

Corporate reorganisations

Where a group needs a new shape, we take part in reorganisations such as transfers of shares, consolidations and changes to ownership chains, so that the structure matches how the businesses really work.

Shareholder governance

We set out how decisions are made between the holding and its participations: who approves what, how reporting flows, and how agreements and resolutions are recorded.

Portfolio oversight

We keep an overview of every holding, its legal status and its place in the wider structure, and we review that picture whenever circumstances change.

Why GFR

What you can expect when you work with a dedicated holding company.

A clear ownership structure

Our single purpose is holding and managing participations. That keeps the picture simple: you can see who owns what, and why the structure looks the way it does.

Ownership apart from operations

Held companies stay independent in their day-to-day business. We stay in the role of shareholder.

A long-term view

Holdings are built to be managed over years, not traded for the next quarter.

Structured change

Mergers and reorganisations are handled as structural projects with documented steps.
